Agreement to our legal terms

Palance (‘Palance’, ‘we’, ‘us’, or ‘our’) is currently a pre-incorporation project. Details of the formal operating entity, company registration and registered contact address will be added when confirmed.

We operate the website https://palance.co (the ‘Site’), as well as any other related products and services that refer or link to these legal terms (the ‘Legal Terms’) (collectively, the ‘Services’).

We provide a multi-asset portfolio analytics platform designed to help investors understand the performance, composition, and risk of their holdings across brokerages and asset classes. Our Services include data visualisations, AI-generated insights, and analytics intended to support users in evaluating their portfolios. We may also offer optional features such as brokerage or account connection and portfolio import. All insights and analytics are provided for informational purposes only and should not be considered financial, investment, or trading advice.

These Legal Terms govern your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU MUST DISCONTINUE USE OF THE SERVICES.

We may make changes to these Legal Terms from time to time. We will alert you by updating the ‘Last updated’ date, and you waive any right to receive specific notice of each change. It is your responsibility to periodically review these Legal Terms. Your continued use of the Services after the date revised Legal Terms are posted constitutes acceptance of the changes.

The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.

1. Our services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

Palance provides portfolio analytics and information services only. We do not take custody of your assets, hold client money, or execute trades or transactions on your behalf. Palance is not currently licensed as an investment firm, broker-dealer, or virtual asset service provider. Our analytics and any AI-generated insights are informational and do not constitute financial, investment, tax, or legal advice. Should our operating or regulatory status change, we will update our users and these Legal Terms accordingly. Users are responsible for ensuring that their use of the platform complies with applicable laws in their jurisdiction.

2. Intellectual property rights

Our intellectual property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, text, and graphics (collectively, the ‘Content’), as well as the trademarks, service marks, and logos contained therein (the ‘Marks’). The Content and Marks are provided ‘AS IS’ for your personal, non-commercial use only.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use. No part of the Services, Content, or Marks may otherwise be copied, reproduced, republished, or exploited for any commercial purpose without our express prior written permission. To request permission, contact info@palance.co. We reserve all rights not expressly granted to you.

Your submissions

By sending us any question, comment, suggestion, idea, feedback, or other information about the Services (‘Submissions’), you agree to assign to us all intellectual property rights in such Submission, and that we shall own it and be entitled to its unrestricted use for any lawful purpose without acknowledgment or compensation to you. You are responsible for what you submit and warrant that your Submissions are original to you or that you have the necessary rights, and do not constitute confidential information.

3. User representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorised purpose; and (7) your use will not violate any applicable law or regulation.

4. User registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.

5. Purchases and payment

We accept the following forms of payment: Visa, Mastercard, American Express, and PayPal. You agree to provide current, complete, and accurate purchase and account information for all purchases, and to promptly update account and payment information. Sales tax will be added where required. All payments shall be in US dollars. You authorise us to charge your chosen payment provider upon placing your order. We reserve the right to refuse any order and to correct any pricing errors, even if we have already requested or received payment.

6. Subscriptions

Billing and renewal

Your subscription will continue and automatically renew unless cancelled. You consent to our charging your payment method on a recurring basis until you cancel. The length of your billing cycle depends on the plan you choose.

Free trial

We may offer a free trial to new users. At the end of the free trial, the subscription will be suspended until upgraded to a paid version.

Cancellation

All purchases are non-refundable. You can cancel your subscription at any time by logging into your account; cancellation takes effect at the end of the current paid term. If you have any questions or are unsatisfied with our Services, please email us at access@palance.co.

Fee changes

We may make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

7. Prohibited activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to, among other things: systematically retrieve data to create a collection or database without written permission; trick, defraud, or mislead us or other users; circumvent, disable, or interfere with security-related features; use the Services in a manner inconsistent with applicable laws; upload or transmit viruses or other harmful material; engage in any automated use of the system (scripts, bots, scrapers, data mining); attempt to impersonate another user; interfere with or create an undue burden on the Services; decipher, decompile, disassemble, or reverse engineer any of the software; make unauthorised use of the Services, including harvesting usernames or email addresses; use the Services to compete with us or for any unauthorised commercial or revenue-generating endeavour; or sell or otherwise transfer your profile.

8. User generated contributions

The Services do not generally offer users the ability to submit or post public content. Where we do provide the opportunity to create, submit, or post content (‘Contributions’), you represent and warrant that your Contributions do not infringe any third party’s rights, are not false, misleading, obscene, harassing, or otherwise objectionable, and do not violate any applicable law. Any use of the Services in violation of the foregoing may result in termination or suspension of your rights to use the Services.

9. Contribution licence

You agree that we may access, store, process, and use any information and personal data that you provide and your choices (including settings). By submitting suggestions or feedback, you agree that we may use and share such feedback for any purpose without compensation to you. We do not assert any ownership over your Contributions; you retain full ownership of your Contributions and any associated intellectual property rights.

10. Social media

You may link your account with third-party accounts by providing your third-party login information or allowing us to access the account. By granting us access, you understand that we may access, make available, and store content you have provided to that account so it is available through the Services. Your relationship with those third-party providers is governed solely by your agreement(s) with them. You may disable the connection between your account and your third-party accounts at any time.

11. Third-party websites and content

The Services may contain links to third-party websites and third-party content that are not investigated, monitored, or checked for accuracy by us. We are not responsible for any third-party websites or content accessed through the Services. If you access third-party websites or content, you do so at your own risk and these Legal Terms no longer govern. You should review the applicable terms and policies of any third party.

12. Services management

We reserve the right, but not the obligation, to: monitor the Services for violations of these Legal Terms; take appropriate legal action against anyone who violates the law or these Legal Terms; refuse, restrict, or disable any of your Contributions; remove content that is excessive in size or burdensome to our systems; and otherwise manage the Services to protect our rights and facilitate their proper functioning.

13. Privacy policy

We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Information about the locations in which personal data is hosted and processed will be maintained in the Privacy Policy as Palance’s production infrastructure is finalised.

14. Term and termination

These Legal Terms shall remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON, including for breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law. We may terminate your use or participation or delete your account at any time, without warning, in our sole discretion.

15. Modifications and interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We cannot guarantee the Services will be available at all times and will not be liable for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.

16. Governing law

The governing law and forum applicable to these Legal Terms will be specified when Palance’s formal operating entity is confirmed. Nothing in these Legal Terms limits any mandatory consumer protection rights that apply to you under the laws of your place of residence.

17. Dispute resolution

Informal negotiations. Before beginning formal proceedings, you and Palance agree to make a good-faith effort to resolve any dispute informally for at least thirty (30) days after written notice is received. Any formal dispute-resolution mechanism, governing forum and applicable procedural rules will be specified when Palance’s formal operating entity is confirmed, subject always to mandatory rights available under applicable law.

18. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

19. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the accuracy or completeness of the Services’ content and assume no liability for any errors or inaccuracies of content, any personal injury or property damage, any unauthorised access to our servers, any interruption of transmission, or any bugs or viruses transmitted through the Services by any third party. Our analytics and insights are informational only and are not financial, investment, tax, or legal advice.

20. Limitations of liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services. Notwithstanding anything to the contrary, our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the three (3) month period prior to any cause of action arising. Certain laws do not allow limitations on implied warranties or the exclusion of certain damages; if these laws apply to you, some or all of the above may not apply and you may have additional rights.

21. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties; (4) your violation of the rights of a third party; or (5) any overt harmful act toward any other user with whom you connected via the Services.

22. User data

We will maintain certain data that you transmit to the Services for the purpose of managing their performance, as well as data relating to your use of the Services. Although we perform regular routine backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data.

23. Electronic communications, transactions, and signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS.

24. California users and residents

If any complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

25. Miscellaneous

These Legal Terms and any policies or operating rules posted by us constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. We may assign any or all of our rights and obligations to others at any time. If any provision or part of a provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.
